Terms of Service

These Terms of Service (the “Terms”) govern your use of the Raxif website and any related website content or services provided by Jeff Lim (“Raxif,” “we,” “us,” or “our”). By accessing or using the website, you agree to these Terms. If you do not agree, do not use the website.

1. About Raxif and these Terms

Raxif is proprietary desktop software for local PDF and image processing. The Raxif website is primarily an informational and marketing website. These Terms govern the website and related website services. They do not replace the separate Raxif End-User License Agreement (“EULA”), which governs installation and use of the Raxif software.

2. Website information

We aim to keep information about Raxif accurate and current, including descriptions of features, compatibility, pricing, availability, and update policies. However, website content may be corrected, changed, or removed from time to time. If information on this website conflicts with information presented at checkout or in the EULA, the terms applicable to the particular transaction or software license will control to the extent of the conflict.

3. Purchases and merchant of record

Raxif may be sold through a third-party merchant of record, such as Lemon Squeezy. When a merchant of record is used, that provider handles the sales transaction and may be responsible for payment processing, applicable transaction taxes, receipts, refunds, chargebacks, and related checkout services. Your purchase is also subject to the terms and policies presented by that provider at checkout.

The website itself does not need to collect or store your payment-card information when checkout is handled by the merchant of record. Raxif software is licensed to you under the EULA even when the purchase transaction is processed by a third party.

4. Software license

Purchasing Raxif does not transfer ownership of the software or its source code. It grants only the rights expressly described in the applicable EULA. Raxif is proprietary, closed-source software. The EULA contains the terms governing permitted use, restrictions, updates, termination, disclaimers, and other software-license matters.

5. Pricing, availability, and product requirements

Prices, supported operating systems, system requirements, included features, and product availability may change prospectively. The applicable price and transaction details are those presented to you before you complete a purchase. We will not retroactively change the amount charged for a completed purchase.

You are responsible for reviewing the published system requirements and determining whether your device is compatible with Raxif before purchasing, except to the extent applicable law provides otherwise.

6. Updates and new versions

Update entitlements are governed by the product description provided at purchase and the Raxif EULA. Unless expressly stated otherwise, maintenance or feature updates made available within the Raxif 1.x product line may be provided to eligible Raxif 1.x licensees without an additional software purchase. A future major version may be offered under different pricing or license terms.

We do not guarantee that any particular feature, update, release date, or future version will be provided unless we have expressly committed to it in writing.

7. Refunds and transaction issues

Where a merchant of record processes your purchase, refund requests, payment disputes, taxes, and transaction issues are handled in accordance with the refund policy and buyer terms presented by that provider, together with any rights you have under applicable law. Nothing in these Terms limits a non-waivable statutory right or remedy.

8. Acceptable use of the website

You may use the website for lawful personal or business purposes related to learning about, evaluating, purchasing, downloading, or obtaining support for Raxif. You must not intentionally interfere with the website's operation, attempt unauthorized access to systems or accounts, introduce malicious code, use the website to violate applicable law, or misrepresent your affiliation with Raxif or Jeff Lim.

9. Intellectual property

Raxif, its original software, website content, branding, graphics, documentation, and other original materials are owned by Jeff Lim or used with permission and are protected by applicable intellectual-property laws. Except as permitted by law or expressly authorized in writing, you may not copy, reproduce, distribute, sell, license, or create misleading derivative branding from protected website materials.

Third-party names, trademarks, software, and other materials remain the property of their respective owners. References to third parties do not imply endorsement unless expressly stated.

10. Third-party websites and services

The website may link to third-party websites or services, including a merchant-of-record checkout or download service. Those services are operated independently and are governed by their own terms and privacy practices. We are not responsible for third-party websites or services except to the extent responsibility cannot lawfully be excluded.

11. Privacy

Our handling of personal information in connection with the website is described in the Raxif Privacy Policy. Third parties involved in purchases, downloads, email delivery, or other external services may process information under their own privacy policies.

Raxif's document-processing functionality is designed to operate locally on the user's computer. The fact that the website, checkout, downloads, or optional communications use internet services does not mean documents opened in Raxif are uploaded for processing.

12. No professional advice

Information on the website is provided for general product and informational purposes. It is not legal, tax, accounting, security, or other professional advice.

13. Website availability and disclaimers

To the maximum extent permitted by applicable law, the website and its content are provided on an “as is” and “as available” basis. We do not guarantee that the website will always be available, uninterrupted, error-free, or free from every harmful component. We may maintain, modify, suspend, or discontinue parts of the website at any time.

Nothing in these Terms excludes warranties, guarantees, conditions, or rights that cannot legally be excluded or limited under applicable consumer-protection law.

14. Limitation of liability

To the maximum extent permitted by applicable law, Jeff Lim will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising solely from use of, or inability to use, the website, including loss of profits, revenue, data, or business opportunity, even if advised that such loss may occur.

Where liability relating to the website cannot be excluded, it will be limited only to the extent permitted by applicable law. This section does not limit liability or remedies that cannot lawfully be limited, including mandatory consumer rights.

15. Changes to these Terms

We may update these Terms from time to time to reflect changes to the website, business practices, service providers, or legal requirements. The current version will be posted on this page with an updated effective date. Changes apply prospectively from the stated effective date and do not retroactively rewrite a completed purchase or previously granted software license except where permitted by law and expressly agreed.

16. Governing law

Except where mandatory law requires otherwise, these Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles. The courts located in Ontario, Canada will have jurisdiction over disputes relating to these Terms, subject to any mandatory rights you may have to bring a claim elsewhere.

17. Severability and waiver

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect to the extent permitted by law. A failure to enforce a provision on one occasion does not waive the right to enforce it later.
