End-User License Agreement

IMPORTANT: PLEASE READ THIS END-USER LICENSE AGREEMENT ("AGREEMENT") CAREFULLY BEFORE INSTALLING OR USING RAXIF.
This Agreement is between you (the individual or legal entity using Raxif) and Jeff Lim ("Licensor"). By downloading, installing, copying, accessing, or using Raxif, you agree to be bound by this Agreement. If you do not agree, do not install or use Raxif.
1. Software
"Raxif" means the proprietary desktop software distributed under the Raxif name, including executable code, bundled resources, documentation supplied with the software, and updates provided under this Agreement. Raxif is proprietary, closed-source commercial software.
2. License grant
Subject to your compliance with this Agreement and the applicable purchase terms, Licensor grants you a limited, non-exclusive, non-sublicensable, non-transferable license to install and use Raxif for lawful personal or business purposes.
The number of users, devices, or installations permitted under your license is the number stated at the time of purchase or in the applicable checkout, order, or license documentation. If no specific limit is stated, the license is for use by the purchaser on devices owned or controlled by that purchaser.
You may make a reasonable number of backup copies solely for archival or recovery purposes. No ownership interest in Raxif is transferred to you.
3. One-time purchase and updates
Raxif may be offered as a one-time purchase. A one-time purchase is a license to use the software under this Agreement; it is not a sale or transfer of the software's intellectual property.
Unless different terms are clearly presented at the time of purchase, a valid license for Raxif 1.x includes updates that Licensor elects to release within the Raxif 1.x product line, including maintenance releases, bug fixes, and feature updates. Licensor is not obligated to create or release any particular update or to maintain any update schedule.
Future major versions, including a future Raxif 2.x product line, may be offered under separate pricing or license terms.
4. Purchases, distribution, and refunds
Raxif may be sold and distributed through an authorized merchant of record or other third-party commerce provider. When a third party processes a purchase, payment, tax, refund, download, or order-related matter, its applicable buyer and transaction terms also apply to those matters.
Refund rights and procedures are governed by the terms presented at checkout, the policies of the applicable merchant of record, and any non-waivable rights available under applicable law. Nothing in this Agreement limits rights that cannot legally be limited or excluded.
5. Offline document processing
Raxif is designed so that its document-processing features operate locally on your device. Raxif does not require documents to be uploaded to a remote service for normal PDF or image processing.
Internet access may nevertheless be used outside the document-processing functions for activities such as purchasing, downloading the software, obtaining an update, visiting an official website, or using services provided by a third-party distributor.
6. Restrictions
Except as expressly permitted by this Agreement or by applicable law, you may not:
(a) copy, reproduce, distribute, publish, rent, lease, sublicense, sell, resell, or commercially redistribute Raxif or any license credential;
(b) provide Raxif as a hosted service, shared service, or service bureau for unlicensed third parties;
(c) modify, adapt, translate, or create derivative works of Raxif;
(d) reverse engineer, decompile, disassemble, or otherwise attempt to derive Raxif source code, algorithms, or non-public implementation details;
(e) remove, obscure, or alter copyright, trademark, attribution, license, or proprietary notices;
(f) bypass, disable, defeat, or interfere with technical measures used to enforce licensing or protect Raxif; or
(g) use Raxif in violation of applicable law or the rights of another person.
The restrictions above apply only to the maximum extent permitted by applicable law. They do not restrict an act that applicable law expressly permits notwithstanding a contractual restriction, including any non-waivable right to achieve interoperability.
7. Intellectual property and ownership
Raxif, including its original source code, executable code, user interface, branding, documentation, and other original materials, is owned by Jeff Lim and is protected by applicable copyright, trademark, and other intellectual-property laws.
All rights not expressly granted under this Agreement are reserved by Jeff Lim. Raxif is licensed, not sold.
"Raxif" and associated branding may not be used in a way that suggests sponsorship, endorsement, or affiliation without prior written permission from Jeff Lim.
8. Third-party components
Raxif includes third-party software components that are licensed under their own terms. Those third-party licenses apply to the corresponding components only and do not convert Raxif itself into open-source software or grant rights to Raxif's proprietary source code.
Required third-party notices and license texts are supplied with the software or its distribution materials. If a third-party license grants you rights that conflict with a restriction in this Agreement as applied to that specific third-party component, the third-party license controls for that component.
9. Your files and responsibility for content
You retain whatever rights you have in documents and images you process with Raxif. Licensor does not obtain ownership of your files merely because you use Raxif to process them.
You are responsible for having the rights and permissions necessary to process, modify, reproduce, or distribute any content you use with Raxif. You are also responsible for reviewing output before relying on it and for maintaining appropriate backups of important files.
10. Compatibility and availability
System requirements, supported platforms, and supported file formats may change over time. Licensor does not guarantee that Raxif will operate with every device, operating-system version, PDF, image, font, printer, or third-party program.
Licensor may discontinue distribution or support of a version of Raxif. Discontinuation does not terminate a valid perpetual license to an already-acquired version, subject to this Agreement, but continued compatibility with future operating systems or hardware is not guaranteed.
11. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RAXIF IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR ERROR-FREE OPERATION.
LICENSOR DOES NOT WARRANT THAT RAXIF WILL BE UNINTERRUPTED, FREE OF DEFECTS, COMPATIBLE WITH ALL FILES OR SYSTEMS, OR THAT EVERY DEFECT WILL BE CORRECTED.
Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, the exclusions above apply only to the extent legally permitted. Nothing in this Agreement excludes any warranty, condition, guarantee, or consumer right that cannot lawfully be excluded.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JEFF LIM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL LOSS OR DAMAGE, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, DOCUMENTS, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO RAXIF OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH LOSS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JEFF LIM'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO RAXIF OR THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE RAXIF LICENSE GIVING RISE TO THE CLAIM.
The limitations in this section do not apply where liability cannot lawfully be excluded or limited, including any liability that applicable law requires to remain unlimited.
13. Indemnity
To the extent permitted by applicable law, you agree to indemnify and hold Jeff Lim harmless from third-party claims, losses, and reasonable costs arising from your unlawful use of Raxif, your violation of this Agreement, or your infringement of another person's rights through content you process or distribute using Raxif. This section does not require you to indemnify Licensor for Licensor's own unlawful conduct.
14. Termination
This Agreement and the license granted under it terminate automatically if you materially breach this Agreement and fail to cure the breach where a cure is reasonably possible. Upon termination, you must stop using Raxif and delete copies in your possession or control, except to the extent retention is required by law.
Sections that by their nature should survive termination, including ownership, third-party licenses, disclaimers, limitations of liability, and governing law, survive termination.
15. Changes to this Agreement
The version of this Agreement supplied with or made applicable to the Raxif version you acquire governs that licensed version unless you affirmatively agree to replacement terms or applicable law permits otherwise.
Licensor may publish revised terms for future versions, future purchases, or optional services. A revised Agreement will not retroactively take away a perpetual license already granted for a version you lawfully acquired merely because new terms are published.
16. Governing law
This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws rules.
Subject to any mandatory consumer-protection or jurisdictional rights that apply to you, the courts located in Ontario, Canada will have jurisdiction over disputes arising from this Agreement.
17. Severability and waiver
If any provision of this Agreement is held unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver of the right to enforce it later.
18. Entire agreement
This Agreement, together with any applicable purchase terms and third-party licenses, constitutes the agreement governing your license to use Raxif and supersedes prior statements about that license to the extent they conflict.
